AMENDMENTS TO THE REGULATIONS
1. Decision on making amendments and supplements.
Clause 3.1 of the Statute is supplemented and worded as follows:
In accordance with the law, any citizen of the Republic of Armenia, as well as any foreign citizen who wishes to participate in the activities of the Organization, accepting the Statute of the Organization and meeting the high requirements of the Organization, may become a member of the Organization.

- confirmation of at least five years of active professional or creative activity in the field of photography (solo exhibitions, active participation in group exhibitions both in the Republic of Armenia and abroad, active participation in the jury of various professional competitions, curatorial, educational or public activities, conducting master classes, publishing one's own books, albums or author's projects).
- Providing three or more original works for consideration by the Organization's Board.

A person wishing to become a member of the Organization fills out an application for membership in the Organization, attaching all the above-mentioned documents, and applies to the Organization's Board (hereinafter referred to as the Board).

A person wishing to become a member of the Organization fills out an application for membership in the Organization, attaching all the above-mentioned documents, and applies to the Organization's Board (hereinafter referred to as the Board).
Clause 7.5 of the Charter is supplemented and worded as follows.
The Board is elected by the Assembly for a two-year term. The Organization's Board consists of active specialists in the field of art and photography who have proven their abilities at the national and/or international level. The members of the Council may be curators of leading galleries of the Republic of Armenia and foreign institutions, art critics, art historians, renowned photographers and professors of specialized universities, whose professional projects, scientific research and creative works have been highly appreciated at international exhibitions, biennales and prestigious professional publications. The members of the jury of prestigious photography competitions, authors of monographs and expert publications, specialists with experience in the field of cultural policy formation, exhibition selection, as well as in the assessment of the artistic value and originality of works of art may also become members of the Council.
2. To determine the procedure for the entry into force of the amendments.

1. GENERAL PROVISIONS
1.1 The National Association of Armenian Photographers (hereinafter referred to as the Organization) is a non-profit organization in which individuals have united, based on the commonality of their interests, in accordance with the procedure established by law, in order to satisfy their non-religious, spiritual and other non-material needs, to protect their and others' rights and interests, to provide material and non-material support to individual groups of society, and to carry out other activities of public benefit.
1.2 The Organization operates on the basis of the Legislation of the Republic of Armenia, international treaties of the Republic of Armenia and this Charter.
1.3 The principles of the Organization's activities are legality, voluntariness, equality of rights, self-government and publicity.
1.4 The Organization operates throughout the territory of the Republic of Armenia and in foreign countries in accordance with the legislation of those countries.

2. SUBJECT AND GOALS OF THE ORGANIZATION’S ACTIVITY
2.1 The object and goals of the organization’s activity are, in accordance with the procedure established by the legislation of the Republic of Armenia:
- To support the development of photography in the Republic of Armenia.
- To unite Armenian photographers and persons interested in photography in the Republic of Armenia and abroad.
- To represent the rights and interests of the organization’s members in other state and international instances.
- To establish ties with similar international, local and foreign organizations, with the prospect of cooperation in specialist exchange programs.
- To promote comprehensive information about photography through publishing activities.
- To involve the youth of the republic in various cultural and educational events.
- To organize republican, international and pan-Armenian festivals, exhibitions, seminars and conferences.
- To create a fund through various events, the proceeds of which will serve to implement the organization’s tasks and goals.
- Establish close ties with the media for the purpose of publishing and publishing aesthetically valuable photographs taken by members of the public organization.
- Appropriate registration and accounting of the works of the organization members for the purpose of later establishing copyrights.
- Form the most prestigious artistic council in the field of photography from experienced masters of photography.
- Carry out other activities arising from this charter and not prohibited by the legislation of the Republic of Armenia.
- To support the development of photography in the Republic of Armenia.
- To unite Armenian photographers and persons interested in photography in the Republic of Armenia and abroad.
- To represent the rights and interests of the organization’s members in other state and international instances.
- To establish ties with similar international, local and foreign organizations, with the prospect of cooperation in specialist exchange programs.

3. PROCEDURE FOR JOINING AND WITHDRAWING FROM THE ORGANIZATION
3.1 Any citizen of the Republic of Armenia, as well as any foreign citizen, who wishes to participate in its activities and accepts the Charter of the Organization, may become a member of the Organization in accordance with the procedure established by law.
3.2 A person wishing to become a member of the Organization shall apply in writing to the Council of the Organization (hereinafter referred to as the Council).
3.3 The issue of admission to membership of the Organization shall be resolved by the Council.
3.4 A person admitted to the Organization is free to withdraw from the Organization. Deprivation of membership of the Organization shall be by decision of the Council.
3.5 A member of the Organization who, if determined by the Council, does not pay membership fees for six consecutive months shall be deprived of membership by decision of the Council. His/her re-admission to membership shall be carried out on a general basis.
3.2 A person wishing to become a member of the Organization shall apply in writing to the Council of the Organization (hereinafter referred to as the Council).

4. RIGHTS AND OBLIGATIONS OF MEMBERS OF THE ORGANIZATION
4.1 A member of the Organization has the right to:
a) elect and be elected to the highest and other bodies of the Organization, moreover, a person who has reached the age of 18 may be elected to the management and supervisory bodies.
b) submit applications, proposals and complaints to the governing bodies of the Organization in order to improve its activities.
c) receive comprehensive information about the activities of the Organization.
d) freely leave the Organization.
e) receive legal assistance from the Organization aimed at protecting his legitimate interests.
f) participate in events organized by the Organization.
g) file a written complaint against the non-statutory activities of the Chairman and the Board of the Organization to the meeting or to the court in accordance with the procedure established by law.

4.2 A member of the Organization is obliged to:

c) pay the entrance fee and monthly membership fee, if established by the Board, the amount and payment procedure of which are determined by the Board.
d) conscientiously fulfill the obligations imposed on him/her.

4.3 The Assembly of the Organization or the Board may apply disciplinary measures to a member who violates the Organization's charter or fails to fulfill his/her obligations: reprimand, deprivation of membership in the Organization.
5. RIGHTS OF THE ORGANIZATION
5.1 The organization is a legal entity from the moment of state registration.
5.2 The organization has separate property, an independent balance sheet, a seal in Armenian, Russian and English languages and a symbol, a stamp, a bank account in the Republic of Armenia and foreign currency, can acquire property and personal non-property rights and bear obligations on its behalf, act as a plaintiff and defendant in court.
5.3 The organization has a stamp, which consists of: in the center, an oval image resembling an eye, symmetrically divided into two parts, two black on the left and one white in the center, two white on the right and one black in the center, above it an image of an arched photo tape, and the right part of the main image is black, the left is white. Below the main sign are the English letters APNA, below them are the Armenian letters ХЛАА.
5.4 The organization independently determines its organizational structure, tasks, objectives and forms of activity.
5.5 In order to implement the goals and objectives stipulated by its charter, the organization has the right, in accordance with the procedure established by law:
a) to disseminate information about its activities.
b) to establish media outlets.
c) to organize peaceful, unarmed meetings, rallies, marches and demonstrations.
d) to represent and protect the rights and legitimate interests of its members in other organizations, in court, in state and local self-government bodies.
e) to carry out entrepreneurial activities through economic companies established by it.
f) to acquire, lease and use real estate, vehicles, other property not prohibited by law in accordance with the procedure established by law.
g) to alienate or transfer for lease or free use any real estate and movable property belonging to the organization.
h) to conclude contracts and other transactions not prohibited by law.
i) independently organize and manage its financial resources, including by attracting borrowed funds, receive loans and grants in the Republic of Armenia and other countries, including in foreign currency. j/ carry out independent foreign activities, including concluding agreements with foreign non-commercial and non-governmental organizations, joining international public organizations, sending its members and other persons to foreign countries, inviting citizens from other countries, and creating separate subdivisions in foreign countries in accordance with the legislation of those countries.

6. OBLIGATIONS OF THE ORGANIZATION
6.1 The Organization shall be obliged to:
a) provide any individual with the opportunity to familiarize himself with the organization's charter within seven calendar days upon request.
b) conduct clerical work and accounting in accordance with the procedure prescribed by law.
c) submit reports on its activities and use of property for approval by the organization's meeting no less than once every two years, ensuring that these reports are publicly available.
d) provide copies of decisions of its highest and other bodies, other documents on the activities of the Organization, and allow representatives of these bodies to be present at the Organization's meeting upon request of an authorized state administration body.
e) submit information and reports to state bodies in cases and in accordance with the procedure prescribed by law.
f) after making decisions on the establishment and dissolution of a separate subdivision or institution, apply to the state registration body within one month for their registration and deregistration in accordance with the prescribed procedure.
g) maintain records of its members.
h) in case of a change in the address of the official authorized to represent the organization without a power of attorney and (or) the location of the organization, within 14 calendar days, send the passport data of that person and (or) the information about the location of the organization to the state registration authority.

7. PROCEDURE FOR THE MANAGEMENT OF THE ORGANIZATION
7.1 The right to finally resolve any issue of the Organization's activities and management belongs to the highest body of the Organization, the Assembly.
7.2 The Assembly is convened once every two years. The Assembly is convened, the procedure for its holding and the terms of its holding are determined by the Board. If the number of members of the Organization exceeds one hundred, then representative delegates elected by the members may participate in the meeting in accordance with the procedure established by the Board.
An extraordinary Assembly of the Organization is convened at the reasoned request of one third of the Organization's members or the Supervisory Committee (Supervisor) of the Organization, with an agenda approved by the Board of the requesting party, no later than 14 calendar days.
7.3 The issues of exclusive competence of the Assembly are:
a/ Approval and amendment of the Organization's Charter.
b/ Election of the Organization's management and supervisory bodies.
c/ Adoption of decisions on the liquidation and reorganization of the Organization.
d/ Approval of the reports on the activities and use of the Organization's property.
7.4 The Meeting may discuss issues and make decisions if more than half of the Organization's members or delegates participate in it. During the discussion of issues, decisions are made by a simple majority of votes of all members or delegates.
7.5 The Council is elected by the Meeting for a two-year term.
The Council carries out its work in the form of sessions, which are convened by the President of the Organization no later than once every six months. A session of the Council may also be convened at the request of 20% of the Organization's members, two members of the Council, or the Organization's Supervisory Committee (Supervisor).

h) establishes and liquidates the Organization’s institutions, separate subdivisions (branches, representative offices), as well as approves their charters.
t) approves the staff list of the Organization, the procedure and amounts of remuneration of employees.
j) determines the procedure and amount of remuneration of persons included in the governing bodies of the Organization.
k) approves the accounting reports of the Organization.
l) has the right to discuss and resolve any issues related to the activities and management of the Organization, except for those reserved for the exclusive jurisdiction of the Assembly.

7.8 The Chairman of the Organization is elected by the Assembly for a term of 2 years.

- concludes transactions, signs contracts, financial documents, opens bank accounts in accordance with the procedure established by law.
- submits the staff list for approval by the Board.
- acquires, possesses, uses, disposes of, alienates and writes off the Organization's property worth up to one million drams, of any size and quantity.
7.9 The Chairman of the Organization":
- directs the work of the Council and conducts its meetings.
- represents the Organization without a power of attorney.
- issues orders, issues powers of attorney.
- concludes transactions, signs contracts, financial documents, opens bank accounts in accordance with the procedure established by law.
- submits the staff list for approval by the Board.
- acquires, possesses, uses, disposes of, alienates and writes off the Organization's property worth up to one million drams, of any size and quantity.
7.10 The Executive Secretary of the Organization is elected by the Board for a term of 2 years.
The Executive Secretary organizes the entire administration of the Organization, collects membership fees, if applicable, maintains the registration of members, organizes the holding of meetings of the Organization's bodies, and carries out other assignments given by the President of the Organization and the Board.

7.11 The Supervisory Committee of the Organization (Supervisor) is elected by the General Meeting for a term of 2 years. The members of the Board and the Chairman of the Organization cannot be members of the Supervisory Committee.
7.12 The Supervisory Committee carries out its work in the form of sessions, which are convened at least 2 times a year. A session may also be convened at the request of 20% of the members of the Organization, one third of the members of the committee, the Chairman of the Organization or the Board.
7.13 The Supervisory Committee of the Organization may discuss issues and make decisions if 2/3 of the members of the committee participate in the session. The decisions of the Committee are adopted by a simple majority of votes. In the event of a tie, the vote of the Chairman of the Committee is decisive. If the supervisory body is the supervisor, he makes decisions alone.
7.14 The Supervisory Committee may request any data and reports related to the activities of the Organization from the Chairman of the Organization and other employees.
7.15 The Supervisory Committee is obliged to submit a report to the General Meeting on the activities of the Organization, balance sheet, property maintenance and other summary of the data verification results.
8. ORGANIZATION PROPERTY, SOURCES OF EXISTENCE AND PROCEDURE FOR USE
8.1 The property of the Organization is the property of the Organization.
8.2 The Organization may have real estate, vehicles, equipment, funds, securities and other property not prohibited by law as property. A member of the Organization does not have a share right to its property.
8.3 The sources of formation of the Organization's property may be:
- Entrance fees, membership fees, monetary and material contributions of the Organization's members.
- Loans received from banking institutions.
- Grants.
- Charitable investments, donations from citizens and organizations.
- Money transferred by economic companies established by the Organization.
- Other income not prohibited by the legislation of the Republic of Armenia.
8.3 The sources of formation of the Organization's property may be:
- Entrance fees, membership fees, monetary and material contributions of the Organization's members.
- Loans received from banking institutions.
- Grants.
- Charitable investments, donations from citizens and organizations.
- Money transferred by economic companies established by the Organization.
- Other income not prohibited by the legislation of the Republic of Armenia.
8.4 The property of the Organization is under the protection of the Republic of Armenia.
8.5 The property of the Organization may be confiscated only by a court in accordance with the procedure prescribed by law.
8.6 The Organization's funds may be used only for organizational expenses and the implementation of the goals and objectives set by the Charter.
8.7 Persons elected to the management and supervisory bodies of the Organization may be remunerated by the Organization if their permanent place of work is the Organization. The amount of remuneration of the specified persons is determined by the Board.
9. REORGANIZATION, LIQUIDATION OF THE ORGANIZATION, USE OF PROPERTY IN THE EVENT OF LIQUIDATION
9.1 The organization may be liquidated by a decision of the Assembly or a court.
The Assembly shall form a liquidation commission and shall determine the procedure and terms of liquidation in accordance with the procedure prescribed by law.
At the end of the liquidation of the organization, the liquidation commission shall use the property remaining after making mandatory payments, in accordance with the procedure prescribed by the Assembly, for the implementation of the statutory goals and objectives of the organization, and, if this is not possible, transfer it to the state budget.
9.2 The organization may be reorganized by a decision of the Assembly or, in cases prescribed by law, by a court decision in accordance with the procedure prescribed by law.
